These Terms of Service (“Terms”) govern your use of the Songima platform (“Songima” or “the Platform”), operated by Sealed Cube, LLC (“we,” “us,” or “our”). By creating an account or accessing Songima, you agree to these Terms. If you do not agree, you may not use the Platform.
1. Eligibility
Songima is intended only for individuals who are at least eighteen (18) years of age and residents of the United States. By using the Platform, you represent and warrant that you meet these eligibility requirements. We do not represent or warrant compliance with international laws, including the EU General Data Protection Regulation (GDPR). Access from outside the United States is at your own risk.
2. Account Registration
Users must provide accurate and complete information during registration. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately at support@sealedcube.com of any unauthorized use of your account.
3. User Roles
The Songima platform supports multiple categories of users, each with distinct rights and responsibilities. These include: (i) Artists, who are authorized to upload and sell Song Cards representing their original music; (ii) Collectors, who may purchase, hold, and resell Song Cards within the marketplace; and (iii) Moderators, who are appointed by Sealed Cube, LLC to monitor the Platform for technical issues, enforce compliance with these Terms, and ensure the integrity of user interactions. By accessing or using the Platform, each user agrees to abide by the obligations associated with their respective role and acknowledges that Sealed Cube, LLC reserves the right to modify, suspend, or revoke role-based privileges at its sole discretion. Decisions by moderators are generally final but remain subject to review or appeal at Sealed Cube, LLC’s discretion.
4. Payments and Wallets
All transactions on Songima are processed through Stripe. Users maintain a wallet balance within the Platform for buying, selling, and withdrawing funds. By using Songima, users agree to Stripe’s separate terms of service and acknowledge that Sealed Cube, LLC is not responsible for any service disruptions, delays, or failures originating from Stripe or other third-party processors. To prevent fraud and ensure platform integrity, all deposits must meet a minimum threshold of ten dollars ($10) and are subject to a mandatory five (5) day holding period before becoming eligible for withdrawal. Withdrawals must meet a minimum threshold of twenty-five dollars ($25) and may be subject to additional limits, verification requirements, or delays imposed by Stripe or by Sealed Cube, LLC in cases of suspected fraud, copyright disputes, or moderation review. We do not guarantee the recoverability of funds in the event of third-party failures, and users acknowledge that wallet balances are contingent on continued platform operation and compliance with these Terms.
5. Song Cards and Marketplace Activity
Artists are responsible for setting the original sale prices of their Song Cards, with a minimum price of one dollar ($1) per song and two dollars ($2) per album. Collectors may purchase Song Cards at the listed price and may subsequently resell such Song Cards at any price above the applicable minimum. Song Cards represent symbolic ownership and are designed for collection and resale purposes only. They do not confer any streaming rights, royalties, intellectual property ownership, or other legal or financial interests in the underlying music. Song Cards are not non-fungible tokens (NFTs) and do not rely on blockchain technology or tokenized asset structures. Ownership is tracked solely within the Songima platform and does not extend beyond it. Users acknowledge that the resale value of Song Cards is not guaranteed, and Sealed Cube, LLC makes no representation or warranty regarding the investment potential or market value of Song Cards. Songima is intended solely as a platform for collection and community engagement, and not as an investment or securities marketplace.
6. Copyright and Intellectual Property
Artists represent and warrant that they hold the necessary rights to upload and sell their music through Songima. Uploading copyrighted material without authorization is strictly prohibited. Upon receipt of a valid Digital Millennium Copyright Act (“DMCA”) notice, Sealed Cube, LLC may remove infringing content and suspend or terminate the accounts of repeat infringers. Artists found to have engaged in copyright abuse forfeit all wallet balances and unsold Song Cards. In the event that a Song Card is removed due to copyright infringement, access to the Song Card may be revoked for all users, including prior purchasers. Sealed Cube, LLC may issue refunds or platform credits at its sole discretion, subject to the refund policy set forth in Section 7 below. Users acknowledge that access to purchased content is contingent on its continued availability and legal status.
7. Refunds
All purchases of Song Cards are final and non-refundable except in the case of verified technical errors directly attributable to the Platform. Refunds will not be issued for third-party disruptions, including but not limited to payment processor errors or user error. In cases where content is removed due to copyright infringement or moderation, Sealed Cube, LLC may, in its sole discretion, issue refunds or credits.
8. Platform Conduct and Enforcement
Users of the Platform are required to act in a lawful, respectful, and responsible manner at all times. Prohibited conduct includes, but is not limited to, harassment, impersonation, fraud, spamming, automated trading, market manipulation (including artificial price inflation or deflation), scraping or reverse engineering of the Platform, or any other action that undermines the integrity or security of the Songima marketplace. As well as when uploading a profile picture or song/album cover, these images must not contain any illegal acts, violence, nudity, or other adult-related content. Sealed Cube, LLC reserves the right, in its sole discretion, to suspend, restrict, or permanently terminate access to the Platform for any user found to be in violation of these Terms or otherwise engaging in conduct detrimental to the operation of the Platform. Such action may be taken without prior notice and without liability to the affected user.
9. Termination and Platform Changes
We may suspend or terminate access to the Platform at any time, with or without cause, and without liability. In the event of permanent shutdown, users will be provided a thirty (30) day window to withdraw available wallet balances, subject to third-party limitations. Sealed Cube, LLC is not responsible for funds that cannot be withdrawn due to failures, freezes, or restrictions by third-party processors such as Stripe. Unsold Song Cards will not retain value beyond shutdown and will not entitle users to refunds. Users who delete their accounts will lose access to the Platform and may forfeit access to previously purchased Song Cards. Sealed Cube, LLC may retain purchase records for audit and compliance purposes. Account deletion does not entitle users to refunds or transfers of purchased content.
10. Limitation of Liability
To the maximum extent permitted by law, Sealed Cube, LLC and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to the use of Songima. Our total liability to any user for any claim shall not exceed the greater of: (i) the total amount the user has spent on Songima during the three (3) months preceding the claim, or (ii) one hundred dollars ($100).
11. Arbitration, Dispute Resolution, and Governing Law
All disputes arising from these Terms or use of the Platform shall be resolved exclusively through binding arbitration administered by the American Arbitration Association (“AAA”) in accordance with its Commercial Arbitration Rules. Arbitration shall take place in Nebraska, and judgment on the award may be entered in any court of competent jurisdiction. Users waive the right to participate in any class action, collective action, or representative proceeding. Arbitration shall proceed on an individual basis only, and no arbitration shall be consolidated with any other proceeding without the prior written consent of Sealed Cube, LLC. These Terms shall be governed by and construed in accordance with the laws of the State of Nebraska, without regard to conflict of law principles. Each party shall bear its own costs and attorneys’ fees, unless otherwise awarded by the arbitrator.
12. Compliance and Regulatory Status
Sealed Cube, LLC is not a registered Money Services Business (MSB) and does not hold user funds directly. All financial transactions are facilitated through third-party processors. Users acknowledge that Sealed Cube, LLC acts solely as a platform operator and not as a financial intermediary. We reserve the right to modify transaction flows or processor relationships to maintain compliance with applicable laws and regulations.
13. Updates to These Terms
We may modify these Terms from time to time. Users will be required to accept the updated Terms upon their next login. Continued use of the Platform after such acceptance constitutes binding agreement to the updated Terms.
